Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") form a binding agreement between you and Real Good Holdings, LLC, a Florida limited liability company ("RG Holdings," "we," or "us"). By accessing or using any of our websites, products, or services (collectively, the "Services"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Scope and definitions

The Services include all websites operated under brands owned by RG Holdings, including but not limited to 5daystoheloc.com, newpermitalerts.com, professionalimageworks.com, findkidtherapy.com, our Etsy storefront RG Digital Studio, and our internal personal finance management tools. "Content" means any text, images, data, files, or other material made available through the Services. "User Content" means Content you submit, upload, or transmit through the Services.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a legally binding contract to use the Services. By using the Services, you represent that you meet these requirements.

4. Accounts and security

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity on your account.
• You agree to notify us promptly at info@rgholds.com of any unauthorized access.
• We reserve the right to suspend or terminate accounts that violate these Terms.

5. Payments, refunds, and subscriptions

• Paid products and subscriptions are billed in U.S. dollars unless otherwise stated, and processed by third-party payment providers (e.g., Stripe, Gumroad, Etsy).
• Subscriptions auto-renew at the then-current rate until canceled. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period unless otherwise stated.
• Digital downloads (e.g., spreadsheet products, design files) are generally non-refundable once delivered, subject to applicable consumer-protection law.
• Service-based products (retouching, AI headshots, etc.) follow each product's published refund policy. Where no refund policy is published, contact info@rgholds.com within 14 days for review.

6. License to use the Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business use. You may not resell, sublicense, or commercially exploit any portion of the Services without our prior written consent.

7. User content

You retain ownership of User Content you submit. You grant RG Holdings a worldwide, non-exclusive, royalty-free license to host, store, process, and display your User Content solely as necessary to operate and improve the Services and to deliver the products you have requested. You represent that you have all rights necessary to grant this license and that your User Content does not infringe any third-party rights or violate any law.

8. Prohibited conduct

You agree not to:

• Use the Services in violation of any law or regulation;
• Upload content that is unlawful, defamatory, obscene, fraudulent, or infringing;
• Attempt to gain unauthorized access to the Services, accounts, or underlying systems;
• Interfere with or disrupt the Services, including via denial-of-service attacks or scraping at volume;
• Reverse engineer, decompile, or extract source code, except as permitted by law;
• Use the Services to transmit malware or other harmful code;
• Misrepresent your identity or affiliation.

9. Third-party services

The Services may integrate with third-party services (such as Plaid for financial account connectivity, Stripe for payments, and others). Your use of those services is governed by their own terms and privacy policies. RG Holdings is not responsible for the practices of third-party providers.

To the maximum extent permitted by law, RG Holdings and its officers, members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total cumulative liability for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amount you paid to us for the Service giving rise to the claim in the 12 months preceding the claim, or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless RG Holdings and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Services, (b) your User Content, or (c) your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive (including Sections 7, 10, 11, 12, 14, and 16) will survive termination.

14. Governing law and arbitration

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in Florida or another mutually agreed location, except that either party may bring an individual action in small-claims court for qualifying disputes. You and RG Holdings each waive the right to a jury trial and the right to participate in a class action. If any portion of this Section is held unenforceable, the remainder shall continue in effect.

15. Changes to these terms

We may modify these Terms from time to time. Material changes will be indicated by updating the "Last updated" date and, where appropriate, by additional notice. Continued use of the Services after changes take effect constitutes acceptance.
